Effective as of August 1, 2014

Equity Commonwealth is committed to protecting your privacy and to keeping your information private. This Privacy Policy describes the ways in which Equity Commonwealth (“we”, “our”, or “us”) collects, uses, and discloses information about you through (the “Website”). By using the Website, you consent to the processing of your information as set forth in this Privacy Policy, now and as amended by us.

Because our business will continue to evolve, from time to time our policies will be reviewed and may be revised. We reserve the right to change this Privacy Policy at any time and notify you by posting an updated version of the Privacy Policy on the Website. It is your responsibility to periodically check this page so that you are aware of what information we collect, how we use it, and under what circumstances we might disclose it. The amended Privacy Policy will apply between us whether or not we have given you specific notice of any change.

Information Collected About You
We collect any information that you provide when you use the Website, such as when you sign up to receive our email alerts or submit a matter to our governance hotline via the online submission process. The information you provide may include, but is not limited to, your name, your employer’s name, email and U.S. mail address, office and home telephone and fax numbers, and any other information you provide when submitting a matter through the Internet to our governance hotline.

We also may automatically collect or log certain technical information from your computer or device when you visit the Website. This information includes your Internet Protocol (“IP”) address and domain name.

How Your Information Is Used
We use the information you have provided to us through the Website to respond to your requests for information about Equity Commonwealth, to investigate and respond to matters you have submitted to our governance hotline via the online submission process, and to respond to any other comments you may have regarding the Website, our governance practices, or the services provided by Equity Commonwealth. If you have signed up to receive our email alerts, we may use the information you have provided to send you, via email, press releases or SEC filings or notifications of press releases or SEC filings that have been posted to the Website. If you do not wish to receive these communications from us, please unsubscribe using the automated system in each email communication.

Equity Commonwealth logs IP addresses and domain names and aggregates them for system administration purposes and to monitor the use of the Website. We use the aggregated information, for example, to measure the number of visits to the Website, the average time spent on the Website, the number of pages viewed, and to monitor various other Website statistics.

How Your Information Is Disclosed
We may disclose the information we collect from you through the Website to third parties: (i) as required by law, such as to comply with valid legal processes such as a search warrant, subpoena, or court order; (ii) to protect our rights and property or the property or personal safety of another user of the Website or any member of the public; (iii) to detect, prevent, or respond to fraud, intellectual property infringement, violations of our Terms and Conditions, violations of law, or other misuse of the Website; or (iv) to the extent reasonably necessary to proceed with the negotiation or completion of a merger, acquisition, or sale of all or a portion of our assets, and/or as part of any such merger, acquisition, or asset sale.

In addition, we may disclose information we collect from you through the Website to service providers who work on our behalf and who have agreed to keep the information confidential and use the information solely to carry out the services that they are performing for us.

Except as described above, we will not provide the information we collect from you through the Website to third parties for their own independent use or sale.

Managing Email Alerts
If you would like to delete your email address from our email alert distribution list so that you no longer receive our email alerts, please unsubscribe using the automated system in each email communication.

From time to time, Equity Commonwealth may request a verification of your email address in order to update the email alert distribution list we maintain. An email address that cannot be verified may be removed from the email alert distribution list and email alerts will no longer be sent to that email address. If you believe that you have been mistakenly removed from the email alert distribution list, please contact us.

Removal of Your Information From Our Website
Equity Commonwealth will attempt to honor your written request to delete information about you from our system. You should be aware, however, that it is not technologically possible to remove each and every record of the information you may have provided to Equity Commonwealth from our servers. The need to back up our systems to protect information from inadvertent loss means that a copy of your information may exist in a non-erasable form that will be difficult or impossible for us to locate.

How Your Information Is Protected
Equity Commonwealth will take steps we deem reasonably necessary to protect the information we collect from you through the Website. We review from time to time our security procedures and mechanisms to ensure that adequate protections are in place. However, no information system can be 100% secure, so we cannot guarantee the absolute security of your information. Moreover, we are not responsible for the security of information you transmit to the Website over networks that we do not control, including the Internet and wireless networks.

Where Your Information Is Processed
Information collected through the Website will be processed in and subject to the laws of the United States of America. In addition, we may transfer your information outside the United States of America to our affiliates, subsidiaries, and service providers located in other countries. By using the Website, you acknowledge and agree to such transfer to, and processing in, the United States of America and these other countries.
